1. Agreement to Terms

By accessing or using PaidByAds ("the Platform," "the Service," "the App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the service.

1.1 Eligibility

To use PaidByAds, you must:

• Be at least 18 years old
• Have legal capacity to enter into binding contracts
• Complete identity verification (KYC) before your first cashout
• Comply with all local, state, and federal laws
• Be located in the United States (the service is currently available to US users only)

1.2 Account Requirements

• One account per person (multi-account abuse results in permanent ban)
• A Google account for sign-in
• Government-issued ID for KYC identity verification (required before your first cashout)
• PayPal account for receiving payments
• Android device running Android 8.0 or higher

2. How PaidByAds Works

2.1 Revenue Sharing Model

2.2 Earning Mechanism

You earn money by:

• Watching video advertisements with verified attention
• Completing a quick gesture to start ad play
• Completing blocks (each block = 3 ad slots + a survey)
• Completing enough blocks to unlock passive earning windows (see Section 3.3)
• Optionally registering up to 5 devices to earn in parallel

2.3 Earning Structure

All users earn the same 80% share of each completed block's revenue. There are no earning tiers. Attention quality, engagement, and receipts affect your standing and eligibility in the monthly bonus pot — they do not change your 80% earning percentage. You may register up to 5 devices on one account to earn in parallel.

3. User Obligations and Conduct

3.1 Attention Verification Requirements

To receive payment for ad viewing, you must:

• Actively watch ads: Your face must be visible to the device camera during ad playback
• Respond to gesture prompts: Complete random verification challenges during ads
• Avoid circumvention attempts: Do not use photos, videos, or AI to simulate attention
• Watch ads yourself: Do not pass your device to others or automate viewing

3.3 Earning Cadence and Limits

Earning runs on a block-and-unlock cadence designed for fraud prevention and platform sustainability:

• Blocks: Each verified block is 3 ad slots plus a survey
• Unlock windows: Complete a set number of verified blocks within a 24-hour window to unlock a passive earning period — 7 blocks unlocks 12 hours of passive earning, or 14 blocks unlocks 24 hours of continuous passive earning
• Cooling periods: Structural limits and breaks between earning windows
• Quality requirements: Genuine, verified attention must be maintained throughout

Note: These limits exist solely for fraud prevention, not to restrict earning potential. All users have equal access to the same earning opportunities.

4. Payment Terms

4.1 Payment Processing

• Payment method: PayPal Payouts
• Minimum payout: No hard minimum. You can cash out any time your balance is at least $0.26 — enough to net $0.01 after the $0.25 processing fee. Below $0.26, the fee would consume the entire amount, so it can't be paid out
• Payment schedule: User-initiated. Earnings become available after a 48-hour hold, and you may request up to 5 payouts per calendar month
• Processing time: 1-3 business days after payment initiation
• Currency: USD

4.2 Payout Fees

• First payout (platform-covered): The platform covers the fee on your first-ever payout when that payout is $2.50 or more. At $2.50, the platform's 10% cut offsets the $0.25 fee, so it breaks even — below that it cannot yet absorb the fee
• Cashing out below $2.50: Allowed at any time, but you pay the fee yourself (your balance must be at least $0.26 to net anything)
• Receipt fee waivers: Submitting 2 valid receipts waives the fee on one payout over $5. This waiver can be used twice per calendar month (a separate 2 receipts each time)
• Payouts under $5.00: The user is responsible for the fee
• Note: Receipts used for fee waivers are separate from the receipts used for bonus-pot eligibility (see Section 4.4)

4.3 Revenue Calculation

Your earnings are calculated as:

• 80% of each completed block's ad revenue (block revenue varies by advertiser and ad network)
• Plus your share of any monthly bonus pot award, if you are eligible and selected

Attention quality and engagement affect your standing in the monthly bonus pot only — they do not change your fixed 80% earning percentage.

4.4 Bonus Pot and Eligibility

Every completed block contributes 10% of its revenue to the monthly bonus pot. The pot is awarded to eligible top performers each month.

• Eligibility: To be eligible to win a pot award in a given calendar month, you must submit 2 valid receipts that month
• Eligibility is not a guarantee: Submitting receipts makes you eligible to be selected; it does not guarantee a win
• No receipts: Without receipts you still earn your 80% and still contribute to the pot, but you cannot be awarded a pot prize
• Owner cap overflow: Once the platform owner's monthly earnings reach the $10 million cap, additional owner earnings are redirected into the bonus pot
• Goal: Create the maximum number of new millionaires

4.5 Withheld Payments

We may withhold payment if:

• Fraud or suspicious activity is detected
• Your account is under investigation
• Your PayPal account information is invalid or inactive
• You violate these Terms of Service
• Legal requirements necessitate withholding

5. Identity Verification and KYC

5.1 Verification Requirements

To withdraw earnings, you must complete the following before your first cashout:

• Email verification: Confirm your email address
• Identity verification: Government-issued ID (driver's license, state ID, or passport)
• Liveness check: A brief on-device liveness check (we do not match your selfie against your ID)

5.2 Anti-Money Laundering (AML)

We comply with AML regulations by:

• Verifying the identity of all users
• Monitoring for suspicious transaction patterns
• Reporting large or unusual transactions as required by law
• Maintaining records for regulatory compliance

6. Privacy and Data Protection

Your privacy is governed by our separate Privacy Policy. Key points:

• We collect data necessary for platform operation and payment processing
• Attention signals during ads (face presence and movement) are processed on your device and never uploaded
• Your KYC liveness selfie and profile photo are stored, and are shared externally only with your consent
• We never sell your personal information
• You have rights to access, correct, and delete your data

7. Intellectual Property

7.1 Platform Ownership

• PaidByAds owns all rights to the app, website, and platform technology
• The PaidByAds name, logo, and branding are proprietary trademarks
• You may not copy, modify, or create derivative works of the platform

7.2 User-Generated Content

By using PaidByAds, you grant us:

• Right to use aggregated, anonymized data for platform improvement
• Right to display your engagement statistics in transparency dashboards
• Right to use testimonials or reviews you provide (with attribution)

8. Disclaimer of Warranties

PaidByAds is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Specific earning amounts or income levels
• Availability of advertisements at all times
• Compatibility with all devices or Android versions
• Protection against all forms of fraud or abuse

9. Limitation of Liability

To the maximum extent permitted by law:

• PaidByAds is not liable for indirect, incidental, or consequential damages
• Our total liability to you shall not exceed the amount you earned in the past 90 days
• We are not responsible for third-party services (PayPal, ad networks, etc.)
• You use the platform at your own risk

10. Indemnification

You agree to indemnify and hold harmless PaidByAds from any claims arising from:

• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your fraudulent or abusive behavior
• Your infringement of third-party rights

11. Account Termination

11.1 Termination by User

You may terminate your account at any time by:

• Requesting account deletion in app settings
• Contacting contact@paidbyads.com
• Outstanding earnings will be paid out within 30 days

11.2 Termination by PaidByAds

We may suspend or terminate your account for:

• Violation of these Terms
• Suspected fraud or abuse
• Extended period of inactivity (12+ months)
• Legal or regulatory requirements
• Protection of the platform or other users

11.3 Effects of Termination

• Access to the platform immediately revoked
• Pending verified earnings will be paid (minus any fees owed)
• Fraudulent earnings will be forfeited
• You may not create new accounts after termination

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, contact us at contact@paidbyads.com to attempt informal resolution. We commit to good-faith negotiations for 60 days.

12.2 Binding Arbitration

If informal resolution fails:

• Disputes shall be resolved through binding arbitration
• Governed by the American Arbitration Association (AAA) rules
• Arbitration conducted in Wyoming
• You waive the right to a jury trial
• You waive the right to participate in class action lawsuits

12.3 Exceptions

The arbitration requirement does not apply to:

• Small claims court disputes (under $10,000)
• Injunctive relief for intellectual property violations
• Emergency provisional remedies

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time:

• Material changes require 30 days advance notice
• Notice provided via email and in-app notification
• Continued use after changes constitutes acceptance
• If you disagree with changes, you may terminate your account

15. Transparency Commitment

16. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to reflect the parties' intention, and the remaining provisions shall remain in full effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PaidByAds, superseding any prior agreements or understandings.
